Terms of Service

1. Acceptance of Terms

By accessing or using the Kyze platform (“Service”) provided by FREEDOMWAY LTD (“Kyze,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Description of Service

Kyze is a cloud-based software platform that helps restaurant owners and operators manage food costs, recipe pricing, menu margins, and financial performance. The Service includes web-based tools, dashboards, AI analysis features, and optional POS integrations.

3. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must be at least 18 years old to use Kyze.
• You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans & Billing

4.1 Plans

Kyze offers subscription plans (Starter, Growth, Scale) billed monthly in US Dollars (USD). Current pricing is displayed on our Pricing page. We reserve the right to change pricing with 30 days' notice.

4.2 Free Trial

We may offer a free trial period for select plans. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. You will be notified before any charge occurs.

4.3 Billing

• Subscriptions are billed monthly on a recurring basis.
• Payment is processed securely through Stripe.
• Your subscription automatically renews each billing cycle until cancelled.
• You authorize us to charge your payment method on file for all applicable fees.

4.4 Cancellation

You may cancel your subscription at any time from your account Settings > Billing > Cancel Subscription. Upon cancellation, you will retain access to your plan until the end of the current billing period. No partial refunds are issued for unused time within a billing cycle. 5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit malware or harmful code
• Resell or redistribute the Service without our written consent
• Use automated tools to scrape or extract data from the Service

6. Intellectual Property

The Kyze platform, including its design, code, features, and content, is owned by FREEDOMWAY LTD and protected by intellectual property laws. You retain ownership of all data you enter into Kyze.

7. Your Data

• You own all business data you input into Kyze (recipes, costs, sales, etc.).
• You grant us a limited license to process your data solely to provide the Service.
• You can export your data at any time.
• We handle your data in accordance with our Privacy Policy.

8. AI Analysis Features

Kyze includes AI-powered analysis features (“AI Smart Analysis”) that provide insights and recommendations based on your data. These are informational tools only and should not be considered financial, legal, or professional advice. You are responsible for all business decisions made using Kyze's insights.

9. Availability & Uptime

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability. We are not liable for downtime caused by factors beyond our control.

10. Limitation of Liability

To the maximum extent permitted by law, Kyze and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless FREEDOMWAY LTD from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, your right to use the Service ceases immediately. We will provide reasonable notice where possible and allow you to export your data.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance.
